Title: Real Estate Counsel Location: NC-Charlotte Other Locations: General Summary: Real Estate Counsel handles the legal work for commercial real estate developments for stores. Primarily these transactions involve negotiation of real estate documents (including development agreements, purchase and sale contracts, easement agreements, declarations, etc.), due diligence reviews and handling closings. In addition, Real Estate Counsel provides advice to the Construction Department regarding issues with developers and contractors. Incumbents must maintain a high level of specialized knowledge within the commercial real estate arena. Real Estate Counsel is responsible for embracing Family Dollar's store-centric commitment to customers, customer service and sales. Principal Duties & Responsibilities: 1. Manage a large volume of real estate acquisition projects from inception to closing. 2. Draft and negotiate purchase and sale contracts and ancillary documents in a timely manner consistent with the Company's requirements. 3. Analyze environmental risks, including evaluating Phase I and Phase II reports, associated with purchase transactions. 4. Analyze complex survey and title issues associated with commercial real estate closings. Must have significant experience working with title insurance companies. 5. Draft and negotiate easement agreements with other property owners, utility companies and governmental agencies. 6. Draft and negotiate SNDAs with lenders and financial institutions. 7. Serve as a consultant and business partner to internal departments and communicate effectively with all constituencies. Must be able to coordinate and collaborate on real estate transactions with other internal departments (e.g. Real Estate, Construction). 8. Represent the Company to developers, regulatory agencies and external vendors. 9. Ensure the Company's interests are protected and favorable legal terms are acquired in real estate contracts. 10. Negotiate with government representatives. 11. Coach, mentor, train, develop and manage commercial real estate paralegals. 12. Provide quality review documents prepared by paralegals. 13. Engage and manage outside counsel, as needed. 14. Apply high level legal knowledge and expertise to all tasks, projects and assignments. 15. Stay abreast of legal trends and communicate changes to internal business partners, Paralegals and other team members. 16. General contract experience. 17. Other job-related duties as assigned. Minimum Requirements: Education: Juris Doctor (JD) from an accredited law school is required. Must be a licensed member of at least one state bar. Experience: Five (5)or more years of related real estate legal experience in a mid to large size law firm or company is strongly preferred. Prior experience serving as in-house counsel in a retail organization or similar industry is preferred. Experience with retail development is a plus. Technical Skills: Must be technically proficient in all areas of the law related to real estate. Other Skills: Must possess strong communication, leadership, organizational agility, process management, planning, presentation and team building skills. Must exhibit exceptional decision making and problem solving abilities. Ability to successfully manage and mentor direct reports is a plus.
